Acceptance of terms
By accessing FlowLedger Print services, websites, or deliverables produced for your organization, you agree to these General Terms on behalf of your company. If you do not agree, you must stop using the services and notify us in writing.
You confirm that you have authority to bind your organization. Consumer-style cooling-off rules may not apply to negotiated enterprise agreements; your order form governs where it explicitly overrides these terms.
Service description
FlowLedger Print provides print fleet management consulting, managed print coordination, field support dispatch, supplies automation design, and related analytics for enterprises operating in the Republic of Korea and connected regions as stated in your statement of work.
Deliverables are described in schedules attached to your contract. We do not guarantee uninterrupted print availability because third-party hardware, power, and networks remain outside our sole control.
Governing law and venue
These terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules that would apply another jurisdiction.
Disputes shall be submitted to the competent courts of Seoul, Republic of Korea, unless your master agreement specifies binding arbitration with a different seat and rules.
Liability limits
To the fullest extent permitted by applicable law, FlowLedger Print is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from use of the services.
Direct damages are limited to fees paid for the specific deliverable giving rise to the claim during the twelve months preceding the event, except where Korean law prohibits such a cap for intentional misconduct or personal injury.
Termination
Either party may terminate for material breach if the breaching party fails to cure within thirty days of written notice, or immediately where cure is not feasible as reasonably determined by the non-breaching party.
Upon termination, you must pay undisputed fees for work performed through the effective date. Sections that reasonably survive termination—including confidentiality, liability, and governing law—remain in effect.
Customer obligations and intellectual property
You will provide timely access, accurate inventories, safe site conditions, and decision-makers needed for workshops. You remain responsible for end-user conduct, including misuse of secure print features.
We retain ownership of our methodologies, templates, and pre-existing materials. You receive a license to use deliverables for internal business purposes. Feedback you provide may be used to improve services without obligation of payment unless otherwise agreed.
